Business law - Case Study Example The respondents was one of the growers who filed a representative suit claiming breach of clause 7.4 contract and sought damages arising out that breach. The Court of first instance heard the case in two separate hearings. The first one dealt particularly with the rule of construction as applied to the disputed clause but also extended in the second hearing. The Judge held that the clause meant offering to growers’ first priority in growing chicks in preference to third parties. The second part of hearing specifically dealt with breach and the implied term of the contract by interpreting the clause on reasonable and equitable grounds. The Judge held in favour of the growers’ that there was breach of the clause and that the growers’ had the capacity to do so, hence the appeal. The Court of appeal reversed that judgment stating that the word capacity related to the appellant’s business growth and not capacity to rear chicken. It gave wide discretion to the a ppellants to contract third parties. Other standard clauses of the contract touching the case at hand included but not limited to the general clause 2, giving an over view that the growers were to provide â€Å"sealable birds† from any farm location ready to be picked and processed by the appellants. It also defined the payment terms. Clause 5 dealt with appellants delivering chicks to growers’ in unspecified quantity but the growers’ had to be notified of that delivery upon picking. The appellants remained the owner of the birds. Clause 7 set out the fundamental obligations of the appellants including providing assistance for â€Å"extra shed capacity† to growers equitably. Clause 8 stated the obligations of the growers’ such as keeping the shed in minimum standard conditions of not less than â€Å"$40 per square meter of shed floor space† and allowing access to that shed by appellants. Clause 12 dealt with the manner of collection of birds from the firm by the appellants. Clause 14 was on payments and notifying the growers’ about it upon collection of birds. Clause 20 was on the five years duration of the contract including termination of the contract if the processing plant was closed. Clause 25 provided for substantial amendment of the contract in writing. and all the above accounts for the case at hand. Case law governing the rule of Construction (b) This is predominantly based on clause 7.4 which according to the Court of first instance gave preference to growers’ as the first people to be offered the opportunity of rearing more chicken unless they are unable to do so. In other words, the appellant were in breach of this fundamental condition by offering such opportunity to third parties at the detriment of growers’. However, the appellate Court differed from the above ratio decidendi stating that Jagot, J did not establish whether the growers’ had capacity to rear more chicks at the t ime, the appellants were allocating the chicks to third parties. Their Lordships made reference to the objective principle enunciated in the case of â€Å"Pacific Carriers Ltd v BNP Pariba†1 to the extent that Court must ascertain the intention of parties by subjecting the clause to the test of a reasonable man in ordinary and plain interpretation.2 That in doing so the Court should not rewrite the clause for that would be interfering with the freedom of contract3 hence causing injustice as upheld in â€Å"

Outline and Evaluate Research Into the Effects of Day Care on Social Development Essay Belsky and Rovine (1988) conducted a study in order to assess attachment using the strange situation technique. They observed infants who had been receiving 20 hours or more of day care per week before the age of 1. Their findings suggested that, in comparison to children at home, these children were more often insecurely attached. With insecure attachments being associated with poorer social relationships this may be considered a negative effect of day care. The NICHD started a longitudinal study in 1991 to study many aspects of child development. Similarly the NICHD study found that children who were in day care for more than 30 hours a week were 3 times more likely to show behaviour problems when they went to school. By comparing the two studies we can see that the amount of time spent in day care plays an important role in whether or not children showed negative effects. However Violata and Russell’s meta-analysis showed that when time spent in day care exceeds 20 hours a week negative effects become apparent however the NICHD study found this time to be 30 hours therefore the results are contradictory and inconsistent. The EPPE study was a large scale, longitudinal study of the progress and development of 3,000 children in various types of pre-school education across the UK. The results of the EPPE study found that high levels of day care, particularly nursery care in the first 2 years, may elevate the risk of developing anti-social behaviour. To some degree the EPPE study supports the findings of Belsky and Rovine’s study as both found that the age of the child when placed in day care contributed to whether or not it was perceived to have negative implications. However the two studies can only be looked at comparatively to a certain extent as Belsky and Rovine’s study assessed infants under the age of 1 whereas the EPPE study assessed children up to the age of 7. Clarke-Steward et al studied 150 children and found that those who were in day care were consistently more advanced in their social development than  children who stayed home with mothers, enabling them to better deal with peer relationships. Likewise, the EPPE study found increased independence and sociability in the children who attended day care. Field (1991) found that the amount of time spent in full-time day care was positively correlated to the number of friends children has once they went to school. However, although these findings suggest that full-time day care had positive effects on the child, the results clash with studies conducted by Belsky and Rovine. This may be due to individual differences of the children assessed in both studies, for example shy children may have appeared insecure when assessed using the strange situation technique by Belsky and Rovine. Moreover the positive correlation shown in Field’s study cannot accurately be used as grounds to state that full-time day care causes children to be more popular as correlation is not causation.

Good morning to the honourable judges, wise time-keepers and contestants. First of all, I need you to relax, and reflect on what you have done the past months. Did any of your activity involve a random act of kindness? Like rescuing an injured cat, helping the homeless or even helping a stranger with his/her work. Yes, I’m going to talk on random act of kindness. We are living at a period of time in which where ever we look, people are always rushing in the hustle and bustle of city life to complete their daily chores. For some it maybe getting to work on time, preparing breakfast for the whole family or completing their homework. Inspite of all this hustle, we should spend a few seconds to observe around us, we could make a difference in a person’s life. Ladies and gentleman, observe around you, have you ever noticed the homeless children or animals around you? I agree time is gold but can’t you spare some time and approach them with a broad smile on your face. A simple smile is a universal language of friendliness and kindness. You can offer to buy them a drink, or provide shelter for them. According to Scott Adams, an Amerian cartoonist, there’s no such thing as a small act of kindness. Every act creates a ripple with no logical end. As I was browsing through the Internet, I read upon a few stories and there is one in particular which I would like to share with you . A man named Jay and his wife were in Mexico on a holiday.As they walked into a McDonald’s restaurant, they saw a woman begging at the door and she had with her a young boy who was about 3 years old and about 2 feet tall, very fine built with short black hair. His face looked dirty, not so much in an unkempt way, but more like a young boy who had been left to his own devices and his smile shone like none other they have ever seen. The more they watched him the more they were drawn to him. He was playing with a stick at the front step, and as people left McDonalds, he would flash a mischievous smile and hold his hand out for a Peso. You could tell he did not care if he got one or not, he was just trying to help his mum out who was doing the real begging. They became enraptured watching him.They wanted to give him a gift. lt was then that it occurred to them that McDonalds always has toys for kids! So they went and got him a McHappy meal. They handed to him the bag of food and the toys which he did not imagine he would ever have. He was so thrilled. He grabbed the bag and ran across the step to his mother, â€Å"Mama, Mama, Mama.† As they left McDonalds, tucked into the corner of the step with his mother beside him, was the beaming little boy with a pop between his legs, fries hanging out of his mouth and his new plastic treasure clamped in his left hand. With his right hand he waved furiously at them and then in perfect English said, â€Å"Thank you very much!†. This story is a clear example of how a random act of kindness can touch someone’s heart. Aesop quoted that â€Å" No act of kindness no matter how small is wasted†. So if you think doing a simple kind deed is nothing, think again because for the person who gained from you random act of kindness, is indeed truly grateful. There is also the strange phenomenon where a dog helped a kitten that fell into a small drain. The kitten was all wet, shivering and giving out sounds in agony. The dog picked the kitten up with its mouth and dragged it towards the sidepath. Then, it licked the kitten’s body a few times with its tounge to dry him and ran away. So, you see ladies and gentleman, even a dog knows how to be kind. Recently, I witnessed an incident where 7 stray dogs were trying to cross a fully packed road. At that moment, a man driving an old sedan switched on his hazard lights and stopped in the middle of the road in a way blocking traffic going both ways. The dogs then quickly crossed the road while wagging their tails. The man then went on as though nothing had happened. I was awestruck. If everyone were like him, the world would be a better place to live in. Besides, there is a lot of things that you can do which is categorised as random act of kindness. Like, sharing your lunch with the needy, stopping for a pedestrian to cross the street or doing chores at home that you normally don’t do. Think of your mum’s reaction when she finds out that you have done some chores. How surprised she will be! This is the least we can spontaneously do for someone who we love and cherish a lot. We obviously don’t know how long we would live. So why not, make a difference in someone’s life while we can. So from now on, when we look at someone, a beggar, a child, stray animals, let’s try to do something that will truly make them happy. The smile that we receive in return of the kind deed is priceless. Trust me! The moment you see the smile, you will truly know that it is worth it. In one of Kahlil Gibran’s quotes, a Lebanese born American philosopher had said that â€Å" Tenderness and kindness are not signs of weakness and despair but manifestations of strength and resolution†. Do you know that, the Random Acts of Kindness Foundation is an organization set up to encourage people to carry out good deeds. People all over the world are experiencing the pleasure of having kind deeds done for them and they in turn reciprocate. These are countless ways for people to show acts of kindness. So, whether you buy a drink for the road sweeper, give a bowl of water to a stray dog, provide a shelter to a cat, or even as simple as helping your teacher to carry their stuffs to the staffroom, it is all categorised as random act of kindness. According to Charlie Chaplin â€Å" we think too much and feel too little. More than machinery, we need humanity. More than cleverness, we need kindness and gentleness†. Though many themes and poignant arguments arise in Buchi Emecheta’s Joys of Motherhood, the most bold of these is the impact of colonial rule on traditional African society and its ambiguous affects thereafter. These themes specifically come about in the text as the clash between colonialists and Africans and how colonial occupation comes to alter the natural development of African cities and villages. It becomes obvious that the influences of colonial presence in Africa are and will continue to be disruptive and detrimental to the lives of Africans. Though this colonial disruption is highlighted immensely, the oppressed people continually move to sidestep the obstructions placed within their society. Even with the oppression of colonial rule upon them, Emecheta’s characters manage to create insular communities to maintain both dignity and tradition. Nnu Ego returns to her father’s house and is again married off, but this time to a fellow Ibo working in Lagos as a domestic for British colonials. The arranged marriage between Nnaife and Nnu Ego is never smooth, and indeed from her first sight of her husband on their wedding day in Lagos, Nnu Ego is disillusioned, though willing to follow custom and fulfill her duties as a wife (Emecheta, 43). Though Nnu Ego is unhappy with Nnaife’s duties as a domestic servant, she stays positive in the marriage in the hopes that her chi will bless the union by allowing her to become a mother. Though her first child dies, Nnu Ego eventually goes on to mother eight children. Despite his less than desirable position as a British domestic servant, Nnaife fully assumes his position as the male head-of-household in his home in accordance with Ibo custom (Emecheta, 47-48). As the eldest son of his family, upon his younger brother’s death, Nnaife marries his two sisters-in-law and brings one of them to Lagos and incorporates her and her children into the household with his family with Nnu Ego (Emecheta, 120). The marriage of Nnu Ego and Nnaife contain many examples of the endurance of traditional African culture throughout colonial rule. As an Ibo minority in Lagos among Yorubas and British imperialists, Nnu Ego and her family struggle and live below the poverty line. One of the main conflicts depicted for Nnu Ego, her family, and society is the navigation of the British imperialistic order. United against a common adversary, the Ibos and Yorubas in The Joys of Motherhood forge a loose knit community and rely on each other during hard times. This alliance between Ibo and Yorubas is especially apparent in the relationships between the women. For instance, as a new wife in Lagos, neighboring women show Nnu Ego the best places to market for cheap, fresh foods (Emecheta, 52). When Nnaife loses his job, the neighboring women help Nnu Ego find cigarettes and other goods to stock a roadside retail stand in order for her to earn extra money (Emecheta,103). Through these hard economic times under colonial rule, the enduring principle of African community values emerges strong as ever. The women of the town especially rely on each other when the men work away from home and during the war when many are drafted into the British army. When the British army commandeers her living quarters, Cordelia helps Nnu Ego move her children and belongings into new housing (Emecheta, 98). When Nniafe is drafted and Nnu Ego is unable to read his letters, Mama Abby helps to read the letters and deposit his allotment checks into the bank (Emecheta, 149-150). Though these allotment checks from the British are extremely useful in caring for the household, Nnu Ego is working constantly and not knowing when Nnaife will return. Though it seemed that colonialism provided new opportunities for the poor to improve their economic woes, would they have been as poor to begin with if colonialism was not the rule of the land? The separating aspect of taking the men from Africa was extremely detrimental not only to those left behind but also to those who go to war. Many return mentally scarred or are ostracized for their involvement with Europeans (Lunn, 45-46) Nnu Ego and her fellow neighbors experience the variations of a changing society but manage to do so without losing the essence of their traditions. As had become custom of imperialism, Africans suffered many hardships under colonial rule for the most part without knowing what the conflicts of the â€Å"Western powers† were about. Asks Nnu Ego of her friend, â€Å"But, Ato, on whose side are we? Are we for the Germans or the Japanese, or the other one, the British? † Ato answers back, â€Å"I think we are on the side of the British. They own Nigeria you know. † Nnu Ego responds back, â€Å"And Ibuza too? † â€Å"I don’t know about that,† Ato states (Emecheta, 98). The implication of this exchange demonstrates that while the British may have political and economic control over the country, the cultural essence of the people cannot be owned. According to Lunn, most African communities were staunch in asserting tradition and sticking to it in these colonial times, showing a strength that Europeans undoubtedly were not expecting (Lunn, 46). The Joys of Motherhood portrays a distance between the generations in the relationship between Nnu Ego and her children, and in particular, the relationship Nnu Ego has with her oldest son, Oshia. In keeping with tradtion, the family invests in Oshia by providing him with the best education, and respecting his status as an elder male, and in return he is expected to take care of the family (Emecheta, 190-191). As a product of an imperialist society, Oshia is educated in a British school system and goes abroad to college where he learns the western value of self-reliance and making his own fortune independently out in the world (Emecheta, 200-201). His selfishness is borne from two both traditional and colonial influences. The fact that he’s the first-born son grants him privileges and honor from the first day he is born along with his association with wealthy students at school teaches him to expect more from life. However, in the end it is the dissociating factor of colonialism and individualism that pulls Oshia away from his family duties. The demonstration of how Nnu Ego, Nnaife, and their neighbors maintain their traditions is embodied by the numerous celebrations they have throughout the novel. Although money and power are in short supply, the African society continues to celebrate births, homecomings, and marriages. The hosts of each party are certain to have large supplies of palm wine and food for everyone, even if they cannot afford it. Upon his mother’s death, Oshia returns to the village and throws a costly funeral celebration. The funeral puts him into debt which would take three years to pay off, but there is a sense of fulfillment and satisfaction that an expected ritual has been performed to honor the dead (Emecheta, 224). The new colonial economic order impacts cultural customs is always present, though. When Nnu Ego returns to Ibuza to visit her father, she is happy and becomes comfortable with the ease of being at home and surrounded with fellow villagers (Emecheta,156). However, a grand-aunt admonishes her to return back to Lagos and not to shame the family by failing to live up to her responsibilities as wife (Emecheta, 159). In this respect, tradition is extremely limiting, in that Nnu Ego’s life and her children’s lives would be much easier in Ibuza than in Lagos. Though traditions can be limiting, especially in the case of a traditional marriage such as Nnu Ego’s, the traditional bond is what links and sustains the community in Lagos. What on the one hand undermines tradition as limiting can also be seen as the thread of continuity necessary for the cultural health and identity of people. The issues about traditions that Emecheta raises stem from the dilemma of how a society reconciles and develops when ideals between cultures clash. British colonial rule certainly made life more difficult and even began to chip away at certain norms and traditions such as familial duty and class systems. The individuality espoused by British culture was in direct violation of the Ibo culture of Nnu Ego. A certainty represented in The Joys of Motherhood is when the community and family worked together, they would thrive. The individual must look to find acceptance in ways that merge into the larger cultural community and that are mutually beneficial to the traditional culture that remained steadfast and a rock during the tumultuous days of colonial rule.

Holl is viewed as assertive by people who are trying to be complimentary, and as a bull in a china shop by people who aren’t, comments architecture critic Paul Goldberger in The New Yorker magazine. Arguably, Holls Vanke Center in China is the architecture that fulfills his philosophical vision. Imagine the Empire State Building on its side, with giant piers cradling the structure several stories above a ground prone to natural disasters. The multi-use horizontal skyscraper incorporates sustainable design and urban planning. Mr. Holl has designed a building that pushes its users to stop and think about the world around them, says Nicolai Ouroussoff in The New York Times. It is an architecture that opens doors to new possibilities. The answers he supplies in all of his designs draw from architecture, of course, but also from engineering, science, art, philosophy, and literature, writes Zach Mortice, Managing Editor of AIArchitect. Holl is the rare architect who can combine these gentlemanly pursuits (he often develops designs by painting them in water colors, for example) and use them as source material and method for buildings that aggressively push the edge of what’s possible. How to Get Started in Your Career After Graduating College After graduating college, building a career isn’t an easy thing to do. And when you’re just starting out, it’s hard to hone the kind of perspective one gains over the course of a long career. If you’ve ever wished you could get the wisdom of a work life well lived before you have to live through all of it and earn that wisdom by making a ton of mistakes, then look no further. Here are 10 career strategies everyone just starting out should know. So save yourself the heartache and the hard lessons, and just skip to the growth and success part.1.  Only you can advocate for yourself.You may think you just have to keep your head down and wait for the promotions and raises and career opportunities to happen to you, but you should realize early and keep in mind that the planning and execution of your career is ultimately your responsibility and no one else’s. Remember: you are in the driver’s seat. Stop assuming and start asserting earlier than yo u think you’d need to.2. Find your meaning.It’s no coincidence that the word â€Å"meaning† includes the word â€Å"me.† Only you can set yourself on a career path that means something to you and includes work that you find important and fulfilling. Now is the time to make the choices that will determine how much you love your work. Remember that stability, security, and income matter, but professional fulfillment matters so much more. Ward off burn-out and unhappiness now by choosing something you care about and worrying less about the outside benefits. Let your priorities dictate the course of what you do.3. Caring will bring about success.When we’re invested in what we’re doing, we end up doing better work. Once you’ve picked something you like, make sure to keep learning and keep yourself interested, because it will mean that you devote yourself to tasks with more care and attention. You’ll get more done, and better.4. Bad situations don’t get better.If you’ve landed yourself in a situation with a toxic boss or a dysfunctional work environment, know when to say enough is enough. Get the courage up to take a leap into something better, and trust that everything else will sort itself out once you do.5. Be your best in times of crisis.Your true character just might be best revealed when the chips are down and the situation is most dire. Keep this in mind in times of crisis. Figure out how you’ll show up when the going gets tough, and set a tone for the kind of person and employee you’ll be throughout your life. You never know when you might deeply impress the right observer in a position to change the course of your career.6. Don’t be selfish.Skyrocketing to success- or even climbing slow but steady- is one thing. But don’t forget that you’re not the only one in the world wanting to move upwards. Sometimes the rise is even sweeter when you help somebody el se up with you. Pay it forward and look out for people other than yourself.7. Embrace originality.Don’t be arrogant, but don’t leave your uniqueness and originality under a bushel. Speak up, voice your ideas, speak your passion. You won’t get anywhere by sitting in the background. Have the guts to take the risk and put yourself out there in the world.8. Aim to do the right thing.Don’t just do what you think you have to do to succeed. Stand up for what you know is right. Comport yourself with integrity. Take the extra time and energy to riddle out what the best and most honest thing would be and devote yourself to doing it. It’s called integrity- and it doesn’t suffer puncture wounds. It’s worth building and maintaining, and can become one of your most precious assets.9. Not taking risks is the biggest risk.You have to have skin in the game to win the game. A ship in the port may seem safe, but isn’t. Ships are meant to sail. So get your little boat out there and see what you can do. Learn from your mistakes and find a way to be magnificent, rather than mediocre.10. Leave something better behind you.A legacy can be a beautiful thing. It’s never too early to think about the kind of mark you’d like to leave on the world. When your life and career are over, what sort of things do you want to hear said about your contribution? What kind of imprint do you want to leave behind? Start thinking how to shape your legacy while you have your whole career before you. Just think what you could accomplish if you put your mind to it.
